Legal & compliance

Business software terms for refrigeration and air-conditioning engineering companies and professional sole traders.

Last updated: · UK business customers

1. Business agreement

These terms govern use of OmniRef by a business customer (“you”) and its authorised engineers. OmniRef is intended solely for trade and professional use, not consumer subscriptions. The person subscribing must have authority to bind the business.

“We” means the UK supplier operating OmniRef, whose legal identity and contact particulars must be added before these terms become final. A separately signed business agreement prevails where it expressly overrides these terms.

2. Software licence & seats

During your trial or paid subscription, we grant a limited, non-exclusive, non-transferable right for authorised users to use OmniRef for your internal HVAC/R business operations. You do not acquire ownership of the software, reference catalogue or diagnostic tools.

Enterprise access is licensed per subscribed engineer seat. Keep access credentials private, promptly remove departing staff and ensure authorised users comply with these terms. You retain ownership of your submitted job records and evidence; you permit us and our service providers to process them only as needed to deliver, secure and support the service.

3. Acceptable use & field safety

  • Use the service lawfully, within your qualifications and applicable refrigeration, electrical, health-and-safety and environmental obligations.
  • Do not upload unlawful content, falsify certificates or evidence, access another contractor’s records, circumvent permissions or subscription controls, introduce malware or disrupt the service.
  • Do not resell access, share one seat between unauthorised users or copy protected manufacturer materials beyond your lawful permissions.
  • Obtain appropriate authority before recording people, customer premises, signatures or location information.

OmniRef supports engineering judgement; it does not replace competent inspection, manufacturer instructions, calibrated instruments or statutory certification. OCR readings may be uncertain, acoustic screening is not a confirmed diagnosis and AR traces are engineer-placed. Verify ratings, refrigerants, targets and safety-critical results before acting.

4. Trial, subscriptions & billing

New accounts receive a single 14-day trial without an upfront card. Purchasing a subscription does not restart or extend that trial. Paid subscriptions renew on the monthly or annual interval and seat quantity confirmed at checkout, unless cancelled. Annual charges are paid upfront. Applicable VAT and tax are shown at checkout.

After the trial ends, core gated features require an eligible subscription; retained evidence and background synchronisation are not deliberately deleted solely because the trial expires. Subscription status is verified by the service, not by user-editable profile fields.

You may manage your subscription in Billing & Subscription. Cancellation and unused-period rules appear in our Refunds & Cancellation Policy. Immediate increases or annual switches may produce prorated charges; reductions follow the renewal arrangements presented for your plan.

5. Offline data & synchronisation

Offline records are first saved to the browser’s device storage. Cloud synchronisation requires an open or resumed app, internet connectivity, a valid signed-in session and a successful server acknowledgement. “Saved on device” is not confirmation of cloud backup. Browsers may suspend background work when the app is closed.

Clearing browser data, private browsing, device loss, storage limits or key loss may permanently remove unsynchronised records and device-only audio. Protect your device, check the queue and export important records before clearing storage or changing devices. Guest records are not automatically assigned to a subsequently signed-in account.

Photo and GPS timestamps may come from the device clock and permitted location services, not an independently certified time source. Immutable cloud receipts and dossier hashes support integrity checks, but do not prove the accuracy of an engineer’s entry or constitute legal compliance certification. Maintain any required independent records and retention arrangements.

6. Availability & third-party services

We aim to provide a reliable service, but do not promise uninterrupted access, universal offline transcription, error-free recognition or live supplier availability. Features depend on compatible browsers, device permissions and third-party services.

Manufacturer references, supplier links, payment processing and cloud AI may be supplied by third parties. Supplier listings do not guarantee trade prices, stock or reservation. We may suspend access where reasonably necessary to address unlawful use, security threats or unpaid charges, without overriding rights that cannot lawfully be excluded.

7. Liability & non-excludable rights

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited. Statutory terms and remedies apply to the extent they cannot validly be excluded.

Subject to those protections, and to the extent lawful and reasonable for this business agreement, our aggregate liability arising from the service is limited to the fees you paid for the service in the 12 months before the event giving rise to the claim. This proposed limitation is subject to legal review and the reasonableness requirements of the Unfair Contract Terms Act 1977.

To the extent lawful and reasonable, we are not liable for indirect or consequential losses, lost profits, lost business or lost anticipated savings. You remain responsible for engineering decisions, lawful customer-data handling and appropriate backups; this does not remove our responsibility where applicable law requires it.

8. Governing law & policy changes

These business terms are governed by the laws of England and Wales, with disputes subject to the courts of England and Wales, except where mandatory law requires otherwise. Material changes should be notified before taking effect; changes do not retrospectively remove accrued rights.

Read the Privacy Policy for personal-data handling. Formal notices and complaints require the supplier contact particulars, which remain outstanding before publication of final terms.
